Schedula

Terms of Service

The agreement between you and Schedula: what each side is responsible for, how billing works, and what happens when things go wrong.

Effective August 31, 2026

1. The agreement

These Terms are a contract between you and Schedula covering your use of the Schedula website and application (the “Service”). By creating an account, accepting an invitation to a workspace, or using the Service, you accept them. If you do not accept them, do not use the Service.

Our Privacy Policy forms part of this agreement.

2. Definitions

  • Workspace — an organization’s account, its staff, schedules and everything else stored under it.
  • Owner — the person who created the Workspace and holds its subscription.
  • Member — anyone the Owner or a manager has added to a Workspace, whatever their role.
  • Customer Content — everything you put into the Service: staff records, schedules, documents, messages, attachments and settings.

3. Accounts

  • You must be at least 16 and able to enter a binding contract.
  • Give accurate registration details and keep them current. One login belongs to one person — do not share credentials.
  • You are responsible for what happens under your account. Tell us at support@schedula.app immediately if you suspect unauthorized access.
  • We may suspend an account being used to attack the Service or to break the law.

4. What a Workspace Owner is responsible for

An Owner controls a Workspace and the personal information in it; we act on the Owner’s instructions. As Owner you are responsible for:

  • Having a lawful basis to enter your staff’s personal information, and informing them of the purposes before you do.
  • Telling your staff, in advance, if you switch on location enforcement or photo verification for attendance. Both are off by default. Turning either on collects information that locates or identifies a person, and the duty to disclose that is yours.
  • Assigning roles carefully, and removing access when someone leaves.
  • Meeting your own obligations under employment-standards, payroll and privacy law. Schedula produces figures to help you; it does not give legal, tax or accounting advice, and payroll output must be reviewed before you rely on it.
  • Responding to your staff’s requests about their own information.

5. Plans, trials and billing

Trial

New Workspaces may start with a 30-day free trial. A payment method is collected at signup and is not charged until the trial ends. Cancel before it ends and you are not charged.

Subscription

  • Paid plans differ in the staff and location limits they permit and the features they unlock. The plan, price, currency and billing cadence shown to you at checkout are the ones that apply.
  • Subscriptions renew automatically at the end of each period until cancelled. Cancel any time from the billing portal; access continues to the end of the period you have already paid for. We do not refund partial periods except where the law requires it.
  • Prices exclude applicable taxes unless stated otherwise.

Seat overage

Each plan includes a number of staff. If a Workspace exceeds that number during a billing cycle, we charge for the extra seats at the per-seat rate for that plan, based on the highest staff count the Workspace reached during the cycle, on the following invoice. The current count and the included allowance are visible in the app at any time.

Failed payments

If a payment fails we email the Owner and keep the Workspace fully working for a grace period of 3 days while the payment method is fixed. After that, paid features become unavailable until billing is brought current. Your data is not deleted when this happens.

Price changes

We may change prices. Existing subscribers get at least 30 days’ notice by email before a change takes effect on their renewal, and can cancel before it does.

6. Acceptable use

You agree not to:

  • Break the law, or infringe anyone’s rights, using the Service.
  • Upload malware, or content that is harassing, hateful or unlawful, through messaging, announcements or attachments.
  • Probe, scan, overload or attempt to bypass the Service’s authentication, rate limits or workspace isolation.
  • Scrape the Service, resell it, or use it to build a competing product.
  • Use another person’s account or PIN, or punch a clock on someone else’s behalf without authorization.

We may remove content or suspend access for a serious or repeated breach, and will tell you why when we can.

7. Your content stays yours

Customer Content belongs to you. You grant us only the licence we need to run the Service: to host, store, transmit, back up and display it to the people in your Workspace entitled to see it, and to process it as the Privacy Policy describes.

You confirm you have the rights to the content you upload. We do not use Customer Content to train machine-learning models.

8. Availability and changes

We work to keep the Service available but do not promise uninterrupted operation. Maintenance, provider outages and events beyond our control can interrupt it.

We add, change and occasionally retire features. If we retire something you materially depend on, we will give reasonable notice. Features marked beta or preview may change or disappear without notice and carry no service commitment.

9. Third-party services

The Service relies on third parties — payments, email delivery, hosting, push notifications — and lets you subscribe to your schedule from an external calendar. Your use of those services is governed by their own terms and we are not responsible for them. A calendar feed you share is visible to anyone holding its link: treat that link as a password, and regenerate it if it leaks.

10. Our intellectual property

The Service — its software, design, branding and documentation — belongs to Schedula. These Terms give you a limited, non-exclusive, non-transferable right to use it while your subscription is current, and nothing more. Feedback you send us we may use freely, with no obligation to you.

11. Ending the agreement

  • You may cancel your subscription or delete your account at any time.
  • We may terminate for a material breach left unfixed for 30 days after notice, or immediately where the breach is a legal or security risk.
  • Export first. Before closing a Workspace, export what you need — the app exports schedules, attendance and payroll data. After closure we delete or anonymize the Workspace’s personal information within 90 days.

12. Disclaimers

Except where the law does not allow it to be excluded, the Service is provided “as is” and “as available”, without warranty of any kind — including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, or that its scheduling suggestions, attendance flags or payroll figures are correct for your circumstances. Reviewing them stays your responsibility.

13. Limitation of liability

To the fullest extent the law permits, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused.

Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for it in the 12 months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law, including for gross negligence, intentional fault, or bodily injury.

14. Indemnity

You will defend and indemnify Schedula against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your failure to meet your own obligations to your staff — including any failure to inform them about location or photo verification.

15. Governing law and forum

These Terms are governed by the laws in force in the Province of Quebec and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of the judicial district of Montréal, Quebec, have exclusive jurisdiction, and each party consents to that venue. The UN Convention on Contracts for the International Sale of Goods does not apply.

16. Language

These Terms are published in English and in French. In the event of any discrepancy between the two versions, the French version prevails to the extent required by the Charter of the French language.

17. General

  • Changes. We may update these Terms. Material changes are announced by email to Owners and in the app at least 30 days before they take effect; continuing to use the Service after that means you accept them.
  • Assignment. You may not assign this agreement without our consent. We may assign it to a successor of our business.
  • Severability. If a clause is unenforceable, the rest stays in force.
  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service, and replace anything said before.
